Terms of Service

Last updated: October 11, 2026

These Terms of Service (“Terms”) govern your access to and use of CounselDraft.ai, including the web application, the CounselDraft iOS application, and related services (together, the “Service”), operated by CounselDraft LLC, an Arizona limited liability company (“CounselDraft,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Professional Use

The Service is intended for attorneys, real estate agents, brokers, property managers, and other professionals and businesses involved in real estate transactions. You must be at least 18 years old and able to form a binding contract to use the Service.

If you use the Service on behalf of a firm, brokerage, or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

2. What the Service Is, and Is Not

CounselDraft is a document drafting and transaction management tool. It provides form templates, a provisions library, a live document preview, AI-assisted drafting and review, deadline tracking, deal sharing, and electronic signature workflows.

CounselDraft is not a law firm and does not provide legal advice. No attorney-client relationship is formed between you and CounselDraft through your use of the Service. Templates, provisions, statutory notices, state requirement summaries, and AI-generated text are starting points for a qualified professional, not substitutes for one.

You are solely responsible for reviewing, verifying, and approving every document you create, send, or sign using the Service, for its suitability to your transaction, and for its compliance with the laws, rules, and professional obligations that apply to you, including in the jurisdiction where the property is located.

3. Accounts

You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Each account is for one named individual; do not share credentials.

Notify us promptly at support@counseldraft.ai if you believe your account has been accessed without authorization. We may suspend an account we reasonably believe is compromised.

4. Plans, Free Trial, and Billing

Plans. The Service is offered on paid subscription plans described on our pricing page, with monthly or annual billing. Plan features and limits (such as the number of active deals, documents, or collaborators) are as described there and may be enforced within the Service.

Free trial. New accounts may receive a free trial period as stated at signup. When the trial ends, continued use requires a paid plan.

Payment. Payments are processed by Stripe. By subscribing you authorize us and Stripe to charge your payment method for the plan you select, plus applicable taxes. Subscriptions renew automatically at the end of each billing period until canceled.

Cancellation and refunds. You may cancel at any time from Settings or through the billing portal. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, fees already paid are not refunded for partial periods.

Price changes. We may change plan prices with at least 30 days’ notice by email or within the Service. Changes apply at your next renewal after the notice period.

5. Your Content

You retain all rights to the documents, form data, transaction details, provisions, notes, and other material you create or upload (“Your Content”). You grant CounselDraft a limited, non-exclusive license to host, store, process, transmit, display, and back up Your Content solely as needed to provide and support the Service to you and to those you choose to share it with.

Your Content may include personal information about third parties, such as clients, buyers, sellers, tenants, and counterparties. You represent that you have the right to enter that information into the Service, and you are responsible for meeting any confidentiality, privilege, consent, or data protection obligations you owe to those parties.

We do not use Your Content to train artificial intelligence models, and we do not sell it. Our handling of Your Content is described in the Privacy Policy.

6. Artificial Intelligence Features

Some features draft, revise, summarize, or review text using third-party large language models. AI output can be incomplete, outdated, or wrong, and may not reflect the law of your jurisdiction or the facts of your transaction. AI suggestions are presented for your review and take effect only when you accept them.

You agree not to rely on AI output without independent professional review, and you accept responsibility for any AI-assisted text you choose to include in a document. AI features may be subject to usage limits under your plan.

7. Electronic Signatures and Identity Verification

The Service lets you request electronic signatures on documents through our e-signature provider. Electronic signatures obtained through the Service are intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted by the states. Whether an electronic signature is valid or sufficient for a particular document or recording office is a matter of applicable law, which you are responsible for confirming.

You are responsible for identifying the correct signers, for obtaining any consent they must give to sign electronically, and for the accuracy of the signer details you enter. Where identity verification is offered, it is performed by a third-party provider and is not a guarantee of a signer’s identity.

8. Deal Sharing and Collaborators

You may invite other people to view or edit a deal. You are responsible for whom you invite, for the access level you grant, and for revoking access when it is no longer appropriate. Collaborators are bound by these Terms when they use the Service. Sharing features may be limited by plan.

9. Acceptable Use

You agree not to:

  • Use the Service to prepare documents for a transaction you are not authorized to work on, or to practice law where you are not licensed to do so
  • Upload content that is unlawful, infringing, or that you lack the right to use
  • Attempt to access another user’s account, deals, or documents without authorization
  • Probe, scan, reverse engineer, or interfere with the Service or its security measures
  • Use automated means to access the Service except through interfaces we provide for that purpose
  • Resell, sublicense, or provide the Service to third parties as a service bureau
  • Use the Service to send unsolicited communications or to impersonate any person

10. Third-Party Services and Data

The Service relies on third-party providers for hosting, payments, e-signature, AI models, address validation, and property data. Their availability and terms are outside our control, and we are not responsible for their acts or omissions.

Property facts, valuations, comparable sales, and similar data surfaced in the Service come from third-party sources, are provided for general informational purposes, may be inaccurate or out of date, and are not appraisals, title reports, surveys, or substitutes for professional due diligence.

11. Intellectual Property

The Service, including its software, design, templates, provisions library, statutory notice generators, state requirement research, and trademarks, is owned by CounselDraft LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your professional purposes during your subscription.

Documents you generate from our templates are yours to use in your transactions. The underlying templates and library content may not be extracted, republished, or redistributed as a standalone product. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

12. Confidentiality and Security

We maintain administrative, technical, and physical safeguards designed to protect Your Content, as described on our Security page and in the Privacy Policy. No system is perfectly secure, and you are responsible for the security of your own devices and credentials and for keeping backups of documents that matter to you, including by using the export features of the Service.

13. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your account is unpaid after notice. We will make reasonable efforts to give you notice and an opportunity to export Your Content before termination, except where doing so would be unlawful or create a security risk.

After termination or deletion, Your Content is removed from active systems and from backups on the schedule described in the Privacy Policy, except where we are required to retain it by law or to resolve disputes.

14. Disclaimers

THE SERVICE, ALL TEMPLATES, PROVISIONS, NOTICES, RESEARCH, PROPERTY DATA, AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY DOCUMENT CREATED WITH THE SERVICE WILL BE ENFORCEABLE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR TRANSACTION OR JURISDICTION.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COUNSELDRAFT LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST DATA, OR PROFESSIONAL LIABILITY CLAIMS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless CounselDraft LLC and its members, managers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, documents you create or send with it, your professional services to your clients, or your breach of these Terms or applicable law.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law rules. Before filing a claim, you agree to contact us at support@counseldraft.ai and to try in good faith to resolve the dispute informally for at least 30 days.

Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction and venue. To the extent permitted by law, each party waives any right to a jury trial and to participate in a class action.

18. Changes to These Terms

We may update these Terms from time to time. For material changes we will give notice by email or within the Service at least 30 days before they take effect, unless a change is required sooner by law. Continued use of the Service after the effective date means you accept the updated Terms. The “Last updated” date above shows the current version.

19. General

These Terms and the Privacy Policy are the entire agreement between you and CounselDraft regarding the Service. If any provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver of it.
